# Terms and Conditions for Drip Irrigation System Installation

## Ownership of Parts

1. **Ownership**: All parts, components, and materials supplied by [D & Q Services] ("Provider") for the drip irrigation system installation remain the property of the Provider until full payment for the installation services has been received.

2. **Risk of Loss**: The risk of loss or damage to the parts shall pass to the Client upon delivery to the specified installation site. However, ownership shall not pass until the full payment is made.

## Installation

1. **Installation Site**: The Client shall provide access to the installation site during normal business hours and shall ensure that the site is ready for the installation of the drip irrigation system.

2. **Preparation**: The Client is responsible for all necessary site preparations required for the installation unless otherwise agreed upon in writing.

## Payment

1. **Payment Schedule**: The Client agrees to adhere to the payment schedule outlined in the Contract. Failure to make timely payments may result in a delay or suspension of installation services.

2. **Final Payment**: Full payment is due upon completion of the installation and satisfactory operation of the system.

## Maintenance and Repairs

1. **Maintenance**: The Client is responsible for the regular maintenance of the drip irrigation system after installation.

2. **Repairs**: Any repairs needed due to improper use or lack of maintenance by the Client will be charged separately.

## Warranty

1. **Warranty Period**: The Provider offers a warranty for Controllers and Battery timers [1 Year] from the date of system activation, covering defects in materials and workmanship.

2. **Exclusions**: The warranty does not cover damage resulting from misuse, abuse, neglect, alterations, unauthorized repairs, or natural disasters.

## Liability

1. **Limitation of Liability**: The Provider's liability for any claim related to the installation or performance of the drip irrigation system shall not exceed the total installation service fee.

2. **Indemnification**: The Client agrees to indemnify and hold the Provider harmless from any claims, damages, or expenses arising from the Client's use of the system.

## Termination

1. **Termination Rights**: Either party may terminate the agreement with written notice if the other party breaches any terms and conditions herein.

2. **Effect of Termination**: Upon termination, the Client shall pay for all services rendered up to the date of termination.

## Governing Law

This agreement shall be governed by the laws of NSW/Australia], and any disputes arising hereunder shall be resolved in the courts of [NSW].
